In the broader area of capital market contracts, the paper focuses on contracts with investors, taking into account the significant innovations brought by MIFID. Although the European legislator seems to undervaluate the impact of the Directive on this piece of contract law, a more in-depth reading shows that it is not actually so, as the new rules remarkably affect the regulation of contracts between investment firms and investors. In this perspective, the paper considers both the relevant articles of the MIFID and domestic legislation transposing them into Italian law.
